Sample Engagement Letter

This letter confirms the terms of engagement between DA Compliance LLC ("DAC") and [Client Name] ("Client") for the Readiness Snapshot service described below.

1. Scope of Engagement

DAC will perform a regulatory logic mapping analysis of Client's digital asset activities using the DAC Hierarchy of Authority methodology. The analysis will map Client's self-reported business activities against applicable requirements from the DAC regulatory database, currently comprising 199 requirements across 13 regulatory anchors.

This engagement covers readiness analysis only. DAC is not a law firm and does not provide legal advice, legal opinions, or compliance certifications.

2. Deliverable

DAC will deliver a Readiness Snapshot report containing:

• A regulatory exposure summary identifying likely applicable requirements
• Per-anchor analysis with source citations to statutes, regulations, and guidance
• A gap assessment identifying areas where Client's current posture may fall short of mapped requirements
• Prioritized readiness recommendations

The deliverable will be provided in DOCX format suitable for board presentation.

3. Timeline

DAC will deliver the completed Readiness Snapshot within 5 business days of receiving a completed intake questionnaire and confirmed payment. If DAC requires clarification on questionnaire responses, the timeline extends by the duration of the Client's response time.

4. Fees

• Readiness Snapshot fee: $5,000 (one-time), payable in full before delivery.
• Credit-back: If Client subscribes to the DAC Platform ($2,750/mo) or DAC Readiness ($5,000/mo) within 30 calendar days of Snapshot delivery, the full $5,000 Snapshot fee is credited toward the subscription. No additional payment is required for the Snapshot.
• Payment is processed via Stripe. DAC does not store payment card information.

5. Client Responsibilities

Client agrees to:

• Complete the DAC intake questionnaire accurately and completely
• Designate a primary point of contact for clarification questions
• Respond to any follow-up questions within a reasonable timeframe

DAC has not independently verified Client representations. The accuracy of the deliverable depends on the accuracy and completeness of information provided by Client.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with this engagement. Confidential information will not be disclosed to third parties except as required by law or with prior written consent. This obligation survives termination of the engagement.

7. Intellectual Property

The DAC regulatory database, logic engine, methodology, and platform remain the exclusive property of DA Compliance LLC. Upon full payment, Client receives a non-exclusive, non-transferable license to use the delivered Snapshot report for internal compliance purposes. Client may not redistribute, resell, or publicly publish the deliverable without prior written consent from DAC.

8. Limitations

• DAC deliverables are informational and analytical. They do not constitute legal advice, audit opinions, or compliance certifications.
• Regulatory landscapes change. The Snapshot reflects the state of the DAC database at the time of generation and may not capture subsequent regulatory changes.
• DAC's total liability shall not exceed the fees paid by Client under this engagement.
• DAC shall not be liable for indirect, consequential, or punitive damages.

9. Termination

Either party may terminate this engagement by written notice. If Client terminates before delivery, DAC will refund prepaid fees less a proportional amount for work completed. DAC reserves the right to decline or terminate an engagement at its discretion.

10. Governing Law

This engagement is governed by the laws of the State of Delaware.
